1. Agreement and Acceptance
These Terms of Service (the “Terms”) are a binding contract between Summit Nodes (“Summit Nodes,” “we,” “us,” or “our”) and the individual or entity that accesses or uses our Services (“you,” “Customer,” or “User”).
If you accept these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity, and “you” refers to that entity. If you lack such authority, you may not accept these Terms or use the Services.
These Terms apply to all websites operated by Summit Nodes (including summitnodes.com and related subdomains), the Client Area, billing systems, support channels (including Discord and email), hosting platforms, networks, IP addresses, temporary or permanent hostnames, and any related products or features we make available now or in the future (collectively, the “Services”).
Supplemental policies, plan descriptions, order forms, acceptable use rules, and service-level statements published by Summit Nodes are incorporated by reference. If a conflict exists, these Terms control unless a signed written agreement expressly states otherwise.
2. Definitions
- “Account” means your Summit Nodes customer account and associated credentials.
- “Client Area” means https://clients.summitnodes.com and any successor portal.
- “Content” means data, files, websites, code, media, email, databases, and other material you or your end users upload, host, transmit, or process using the Services.
- “Summit Nodes Domain” means summitnodes.com and any other domain owned or controlled by Summit Nodes.
- “Summit Nodes Subdomain” means any hostname under a Summit Nodes Domain, including but not limited to any name of the form something.summitnodes.com, nested subdomains, temporary preview hostnames, default server hostnames, and any hostname we assign for access, testing, migration, or branding.
- “Reseller” means a Customer authorized to resell hosting under a Summit Nodes reseller plan.
- “End User” means any person who uses websites, accounts, or services you operate on Summit Nodes infrastructure.
3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering a binding contract. You may not use the Services if you are barred under applicable law, under sanctions, or previously terminated by Summit Nodes for cause.
You agree to provide accurate, current, and complete registration and billing information and to keep it updated. Providing false identity, payment, or contact information is grounds for immediate suspension or termination without refund.
4. Accounts and Security
You are solely responsible for maintaining the confidentiality of Account credentials, API keys, FTP/SFTP credentials, database passwords, control panel logins, and any authentication methods associated with your Services. You are responsible for all activity occurring under your Account, whether or not authorized by you, except to the extent caused solely by Summit Nodes’ proven breach of these Terms.
You must promptly notify us at [email protected] of any actual or suspected unauthorized access. Summit Nodes may require identity verification, multi-factor authentication, or security remediation before restoring access.
We may refuse, limit, or reclaim usernames, hostnames, or account identifiers that infringe trademarks, are misleading, abusive, reserved, or otherwise inappropriate in our sole discretion.
5. Services
Summit Nodes provides web hosting, reseller hosting, related managed features (such as control panels, SSL tooling, backups where offered, migrations where offered), and may offer VPS or other products as they become available. Service features, locations, resource allocations, and included components are described at order time and may evolve. Marketing materials are for general information and do not expand your contractual rights beyond these Terms and your order confirmation.
We may modify, replace, or discontinue features, software versions, locations, or third-party integrations with reasonable notice when practicable. We may perform maintenance, upgrades, migrations, or emergency interventions that temporarily affect availability.
Unless expressly stated in a separate written SLA accepted by Summit Nodes, Services are provided on a commercially reasonable efforts basis and are not guaranteed to be uninterrupted, error-free, or immune from security incidents.
6. Orders, Billing, Renewals, Taxes, and Refunds
6.1 Orders and acceptance
An order is an offer to purchase Services. Summit Nodes may accept or reject any order in its discretion, including for fraud risk, sanctions screening, prior abuse, incomplete information, or capacity limits. Services begin when provisioned or when we confirm activation, whichever occurs first.
6.2 Fees and billing terms
You agree to pay all fees for selected plans and add-ons, including monthly, annual, multi-year (including 36-month), or other prepaid terms shown at checkout. Promotional pricing, discounts, and term-length savings apply only as stated at purchase and may be conditioned on remaining in good standing for the full term. Unless prohibited by law, prepaid fees for discounted long-term plans are non-refundable after any stated money-back window expires.
6.3 Automatic renewal
Unless you disable auto-renewal or cancel before the renewal date through the relevant Account controls, Services may renew for successive terms at then-current rates (or the rate stated for your plan). You authorize Summit Nodes and its payment processors to charge your payment method for renewals, taxes, and outstanding balances.
6.4 Late payment and nonpayment
If payment fails or is overdue, we may suspend or terminate Services, charge reasonable reactivation fees, and retain Content for a limited period or delete it. You remain responsible for fees accrued through the effective termination date.
6.5 Taxes
Fees may exclude taxes, duties, and similar governmental charges. You are responsible for all applicable taxes except taxes based on Summit Nodes’ net income.
6.6 Refunds and money-back
Where a money-back guarantee is expressly offered for a product, it applies only to first-time purchases of that product, within the stated window, and excludes domain registration/transfer fees, third-party licenses, overages, and chargeback-related costs. Abuse, Acceptable Use violations, chargebacks, or fraud void refund eligibility. Chargebacks initiated without first contacting billing support may result in Account termination and collection of associated fees.
6.7 Price changes
We may change prices for renewals or new purchases. Material renewal price changes will be communicated in advance when practicable via the Client Area, email, or website notice.
7. Acceptable Use Policy
You agree not to use the Services to engage in, facilitate, host, or distribute any of the following:
- Illegal activity under applicable local, state, federal, or international law;
- Fraud, phishing, social engineering, identity theft, or credential harvesting;
- Distribution of malware, ransomware, trojans, bots, exploit kits, or malicious scripts;
- Unauthorized access, scanning, or attacks against any system, network, or person;
- Spam, unsolicited bulk email, or email/SMS/voice abuse that violates anti-spam laws;
- Content that exploits or endangers minors, or any child sexual abuse material (zero tolerance);
- Unlawful pornography, non-consensual intimate imagery, or content that promotes human trafficking;
- Terrorism, violent extremism, credible threats, or instructions for violent crimes;
- Intellectual property infringement, trademark counterfeiting, or piracy warehouses;
- Network abuse, open proxies/relays, cryptocurrency mining on shared hosting without written approval, or resource exhaustion attacks;
- Misrepresentation that you are Summit Nodes, an affiliate, employee, or authorized partner when you are not;
- Any activity that creates material risk to our network, reputation, other customers, or third parties.
Summit Nodes may investigate suspected violations, cooperate with law enforcement, preserve logs and Content as required by law, and take remedial action including content removal, null-routing, suspension, or termination.
8. Summit Nodes Subdomains — Strict Use Policy
8.1 Scope
This Section applies to every Summit Nodes Subdomain and to any URL, hostname, CNAME target, default site address, temporary migration URL, preview link, server hostname, or service endpoint under a Summit Nodes Domain, including without limitation hostnames resembling:
*.summitnodes.com(any label or nested label);- Client, billing, support, status, panel, mail, CDN, API, or staging hostnames under Summit Nodes Domains;
- Any hostname Summit Nodes assigns to your Service for access or demonstration purposes;
- Any use of “summitnodes,” “summit nodes,” confusingly similar marks, or Summit Nodes branding within a hostname you control that is intended to imply official affiliation.
8.2 No unauthorized creation or claim of rights
You shall not, and shall not attempt to:
- Create, request, register, point, or use any Summit Nodes Subdomain except exactly as provisioned or expressly authorized by Summit Nodes for your Account;
- Claim ownership, trademark rights, property rights, or perpetual rights in any Summit Nodes Subdomain;
- Sell, lease, transfer, assign, sublicense, auction, or barter any Summit Nodes Subdomain or access thereto;
- Use a Summit Nodes Subdomain as collateral, in advertising as a transferable asset, or as a brand you control;
- Register domains, social handles, or trademarks that incorporate Summit Nodes Subdomains in a way that suggests official status;
- Bypass technical or administrative controls to create additional labels under Summit Nodes Domains.
8.3 Permitted use (if assigned)
If Summit Nodes assigns you a Summit Nodes Subdomain (for example, a temporary site URL, default hostname, or preview address), you may use it solely to access or demonstrate your own hosted Service, and only while your Account remains in good standing. Such use is temporary convenience and may be replaced by your own domain. Summit Nodes may require migration to a customer-owned domain at any time.
8.4 Absolute prohibitions for Summit Nodes Subdomains
You may not use any Summit Nodes Subdomain, directly or indirectly, for:
- Phishing, brand impersonation, credential theft, or “lookalike” login pages;
- Any content or activity prohibited under Section 7;
- Adult content, high-risk financial schemes, unlicensed gambling, or pharmaceutical sales, unless Summit Nodes has given prior written approval for that hostname class (approval is rare and may be withheld);
- SEO spam, doorway pages, link schemes, malware distribution, or traffic abuse;
- Proxying, mirroring, or reverse-proxying third-party sites to conceal origin or evade enforcement;
- Public marketing that presents a Summit Nodes Subdomain as your primary permanent brand domain;
- Email sending practices that harm Summit Nodes deliverability or reputation;
- Any use that could reasonably confuse the public into believing the subdomain is an official Summit Nodes corporate, billing, support, or security property under your control.
8.5 Branding, affiliation, and misrepresentation
Use of a Summit Nodes Subdomain does not make you a partner, reseller-of-record for the Summit Nodes brand (unless you have a separate reseller plan and still may not brand yourself as Summit Nodes), affiliate, or agent. You must not display Summit Nodes logos, seals, or “official” badges on a Summit Nodes Subdomain in a misleading way. You must not modify browser chrome, certificates presentations, or pages to impersonate Summit Nodes login or billing properties (including clients.summitnodes.com).
8.6 Reseller and End User responsibility
Resellers are fully responsible for every End User’s use of Summit Nodes Subdomains. If an End User violates this Section, Summit Nodes may suspend the End User, the Reseller package, or both, and may require the Reseller to migrate End Users to customer-owned domains. Resellers must include terms at least as protective of Summit Nodes Subdomains in their own customer agreements.
8.7 Monitoring, seizure, and enforcement
Summit Nodes may monitor DNS, HTTP(S), mail, and related signals associated with Summit Nodes Subdomains. Upon suspected or confirmed violation—or as a preventive brand/security measure—we may, without prior notice and without liability:
- Disable DNS resolution or reverse proxies for the hostname;
- Replace content with a suspension or parking page;
- Revoke SSL certificates associated with the hostname;
- Reassign or permanently retire the subdomain label;
- Suspend or terminate the underlying hosting Service;
- Preserve evidence and report activity to appropriate authorities or aggrieved rights holders;
- Deny future subdomain assignments to the Account or related Accounts.
No refunds are owed for enforcement actions under this Section. You waive claims for lost profits, reputational harm, SEO loss, or data inaccessibility arising from lawful subdomain enforcement, to the maximum extent permitted by law.
8.8 Survival of subdomain restrictions
The restrictions in this Section survive termination of Services and continue indefinitely with respect to any claim of rights in Summit Nodes Domains or Summit Nodes Subdomains.
9. Domains, DNS, and IP Addresses
Domain registrations/transfers, where offered, may be provided through registrars or partners and are subject to their terms and ICANN/registry policies. You are responsible for renewing domains you own. IP addresses, network routes, and Summit Nodes hostnames remain Summit Nodes property and may be changed or reclaimed. Upon termination, you must stop pointing DNS to Summit Nodes infrastructure unless we agree otherwise in writing.
10. Customer Content and Licenses
You retain ownership of your Content. You grant Summit Nodes a worldwide, non-exclusive license to host, copy, transmit, cache, back up, display, and otherwise process Content solely as needed to provide, maintain, secure, and improve the Services, prevent abuse, and comply with law.
You represent and warrant that you have all rights necessary for Content you upload and that Content does not violate law or third-party rights. Summit Nodes does not pre-screen all Content but may remove or disable Content that violates these Terms or creates legal risk.
You are responsible for End Users and for securing appropriate consents/notices for personal data you process using the Services. Our Privacy Policy explains how we process personal data as a provider.
11. Additional Reseller Terms
Reseller plans allow you to create and manage customer accounts within allocated resources. You are the merchant of record for your End Users unless otherwise agreed. You must not misrepresent Summit Nodes as the direct seller of your branded services in a deceptive manner, and you must not use Summit Nodes marks except as expressly permitted.
You are responsible for End User billing support, Acceptable Use enforcement, abuse responses, and lawful content. Summit Nodes may communicate directly with End Users for network security, legal process, or critical abuse issues. Resource limits, LVE settings, inode limits, and email sending limits apply as configured. Circumvention of limits is prohibited.
12. Resource Use and Fair Use
Shared and reseller environments are multi-tenant. You must not consume CPU, RAM, disk I/O, inodes, processes, bandwidth, or email volume in a manner that degrades service for others. We may throttle, suspend, or require upgrades if usage is excessive, abnormal, or inconsistent with plan intent. “Unlimited” marketing terms, if used, mean no hard published cap under ordinary use and remain subject to fair use, Acceptable Use, and technical stability limits.
13. Security and Abuse
You must maintain secure software, promptly patch CMS/plugins/themes, use strong credentials, and not leave administrative interfaces publicly exposed without protection. Compromised sites that attack others or send spam may be suspended until cleaned. Summit Nodes may take emergency action to protect the platform.
14. Backups
Where backups are offered, they are a convenience feature and not a guarantee of recoverability for every file, database, or point in time. You remain responsible for maintaining independent backups of critical Content. Summit Nodes is not liable for backup gaps, corruption, retention expiry, or restore failures except to the extent required by law or an express written backup SLA.
15. Support
Support may be provided via the Client Area, email (including [email protected]), Discord, or other channels we designate. Support covers Summit Nodes platform issues and reasonable guidance. Support does not include unlimited custom development, third-party application debugging beyond reasonable assistance, or guarantees of response times unless expressly sold as a separate SLA.
Abusive, harassing, or bad-faith communications toward staff or community members may result in support restrictions or Account termination.
16. Suspension and Termination
We may suspend or terminate Services immediately if:
- You breach these Terms (including Section 8);
- Payment is overdue or a chargeback is filed;
- Your use creates security, legal, or operational risk;
- We receive a credible legal complaint, court order, or law-enforcement request;
- Your Account appears fraudulent or linked to prior abuse.
You may cancel Services through the Client Area or by contacting support, subject to plan term commitments and non-refundable prepaid periods. Upon termination, your license to use Summit Nodes Subdomains ends immediately, and Content may be deleted after any short retention window we choose to offer. Export your data before cancellation.
17. Intellectual Property
Summit Nodes and its licensors own all rights in the Services, software, documentation, logos, trademarks (including “Summit Nodes”), trade dress, and Summit Nodes Domains/Subdomains. No rights are granted except as expressly stated. You may not copy, reverse engineer (except to the limited extent permitted by law), or create derivative works of our platform software.
18. Copyright / DMCA Policy
Summit Nodes respects intellectual property rights. If you believe Content on our Services infringes your copyright, send a notice to [email protected] with: (a) your contact information; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location/URL; (d) a statement of good-faith belief that use is unauthorized; (e) a statement under penalty of perjury that the information is accurate and that you are the owner or authorized agent; and (f) your physical or electronic signature.
We may remove or disable access to allegedly infringing material and terminate repeat infringers in appropriate circumstances.
19. Third-Party Services
Services may interoperate with third-party software, registrars, payment processors, CDN providers, control panels, Discord, and other tools. Third-party terms and privacy practices apply to those services. Summit Nodes is not responsible for third-party outages, policy changes, or acts/omissions.
20. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT WILL NOT BE LOST OR ALTERED.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUMMIT NODES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO SUMMIT NODES FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRECEDING THE EVENT. THESE LIMITATIONS APPLY REGARDLESS OF THEORY OF LIABILITY AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the maximum extent permitted.
22. Indemnification
You will defend, indemnify, and hold harmless Summit Nodes and its personnel from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Content; (b) your use of the Services; (c) your End Users; (d) your breach of these Terms (including Section 8); (e) your violation of law or third-party rights; or (f) disputes between you and your customers.
23. Confidentiality
Non-public information about Summit Nodes infrastructure, security, pricing not publicly listed, and support communications may be confidential. You agree not to disclose such information except as required by law or with our consent. This does not limit your ability to discuss publicly available plan pricing.
24. Export Controls and Sanctions
You represent that you are not located in, and will not use the Services from, a sanctioned jurisdiction if prohibited, and that you are not a prohibited party under applicable export control or sanctions laws. You will not use the Services for prohibited end uses.
25. Force Majeure
Summit Nodes is not liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, shortages, utility failures, Internet backbone failures, upstream provider outages, or pandemic-related disruptions.
26. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date will change when we do. Material changes will be posted on this page and/or communicated via the Client Area or email when practicable. Continued use of the Services after the effective date of updated Terms constitutes acceptance, except where applicable law requires a different method of consent. If you do not agree, you must stop using the Services and cancel your Account.
27. Dispute Resolution and Binding Arbitration
Informal resolution first. Before filing a claim, you agree to contact [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.
Binding arbitration. Except for disputes that qualify for small-claims court or claims seeking injunctive relief for intellectual property or unauthorized use of Summit Nodes Domains/Subdomains, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration may be conducted by video or phone and, if an in-person hearing is required, at a mutually agreed location in the United States. Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. YOU AND SUMMIT NODES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims without consent of all parties.
Injunctive relief carve-out. Summit Nodes may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, Summit Nodes Domains, Summit Nodes Subdomains, network security, or confidential information.
If arbitration is found unenforceable for a particular claim, that claim shall proceed in court subject to Section 28, and the class waiver shall still apply to the maximum extent permitted.
28. Governing Law and Venue
These Terms are governed by the laws of the United States and the State in which Summit Nodes maintains its principal place of business, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs interpretation and enforcement of the arbitration agreement. Subject to Section 27, exclusive venue for permitted court actions shall be the state or federal courts located in that State, and you consent to personal jurisdiction there.
29. General Provisions
- Entire agreement. These Terms, the Privacy Policy, and order confirmations constitute the entire agreement and supersede prior or contemporaneous understandings regarding the Services.
- Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and remaining provisions will continue in full force.
- Waiver. Failure to enforce a provision is not a waiver of future enforcement.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
- No third-party beneficiaries. Except as expressly stated, these Terms create no third-party beneficiary rights.
- Notices. We may provide notices via website posting, Client Area messages, or email to your Account address. Notices to us must be sent to [email protected] unless a legal process address is later designated.
- Relationship. The parties are independent contractors. These Terms do not create a partnership, joint venture, or employment relationship.
- Construction. Headings are for convenience only. “Including” means “including without limitation.”
- Survival. Sections that by nature should survive (including 8, 10, 17, 20–24, 27–29) survive termination.
- Electronic acceptance. Electronic clicks, typed names, checkboxes, and continued use constitute valid electronic signatures and acceptance under applicable e-sign laws.
